TaskAGI Terms and Conditions

Welcome to TaskAGI! These Terms and Conditions ("Terms") govern your use of the TaskAGI automation and AI agents platform ("Service"), provided by TaskAGI ("TaskAGI", "we", "us", or "our"). By accessing or using the Service, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please do not use the Service.

1.1. By creating an account, accessing, or using TaskAGI, you agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, and all other legal documents referenced herein.

1.2. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1.3. You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service.

1.4. These Terms are governed by EU and UK law. By using TaskAGI, you consent to the jurisdiction of courts in the EU/UK for any disputes.

2.1. To access and utilize the advanced features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and maintain the accuracy of such information.

2.2. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to promptly notify TaskAGI of any unauthorized use of your account or any other breach of security.

3.1. TaskAGI is an automation and AI agents platform that allows users to:

Build and execute custom automation workflows
Connect to 365+ third-party integrations (CRMs, payment processors, marketing tools, etc.)
Use 30+ AI models from providers including OpenAI, Anthropic, Google, ElevenLabs, and Replicate
Access 25+ web scraping and data enrichment services
Configure webhooks and scheduled workflow triggers
Process background jobs and manage workflow executions

3.2. Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

3.3. Beta Features: We may offer beta or experimental features. These are provided "as is" without warranties and may be modified or discontinued at any time.

4.1. Legal Use: You agree to use the Service only for lawful purposes and in compliance with these Terms, applicable laws, regulations, and third-party terms of service.

4.2. Content Responsibility: You are solely responsible for:

All content you submit, share, or process through the Service
Data you send to third-party integrations or AI models
Workflows you create and execute
Data obtained through web scraping or enrichment services
Outputs generated by AI models using your inputs

4.3. Third-Party Integration Compliance: When connecting third-party services:

You must comply with each integration's terms of service and privacy policy
You are responsible for obtaining necessary rights, permissions, and consents
You must ensure your use of connected services is authorized
TaskAGI is not responsible for third-party service disruptions or policy changes

4.4. Data Protection: You must:

Comply with all applicable data protection laws (GDPR, UK DPA, etc.)
Obtain necessary consents before processing personal data through TaskAGI
Ensure you have legal basis for processing data via workflows
Not use the Service to process data in violation of data subjects' rights

4.5. Security: You must:

Maintain the confidentiality of your account credentials
Notify us immediately of any unauthorized account access
Not share your API keys or authentication tokens publicly
Implement appropriate security measures for webhook endpoints

IMPORTANT: TaskAGI integrates third-party AI models. By using AI features, you acknowledge and agree to the following:

5.1. No Accuracy Guarantee:

AI-generated outputs may be inaccurate, incomplete, biased, or misleading
AI models may "hallucinate" (generate false or nonsensical information)
You must independently verify all AI-generated content before relying on it
TaskAGI makes no warranties about the accuracy, reliability, or suitability of AI outputs

5.2. User Responsibility for AI Outputs:

YOU ARE SOLELY RESPONSIBLE for reviewing, editing, and approving all AI-generated content
YOU are responsible for any consequences of using AI-generated content
YOU must ensure AI outputs comply with applicable laws and third-party rights
TaskAGI is NOT liable for damages resulting from your use of AI-generated content

5.3. Intellectual Property Risks:

AI outputs may inadvertently incorporate copyrighted material from training data
YOU are responsible for ensuring AI outputs do not infringe third-party IP rights
TaskAGI makes no representation that AI outputs are original or non-infringing
You indemnify TaskAGI against IP claims arising from your use of AI outputs

5.4. Third-Party AI Provider Terms:

Your data may be sent to AI providers (OpenAI, Anthropic, Google, etc.)
AI providers may have additional terms, usage restrictions, and content policies
You agree to comply with AI provider terms when using their models through TaskAGI

5.5. Prohibited AI Uses:

Generating illegal, defamatory, or harassing content
Creating deepfakes or impersonating individuals without consent
Automated decision-making affecting legal rights without human oversight
Any use violating AI provider content policies

5.6. No Professional Advice:

AI outputs do NOT constitute professional advice (legal, medical, financial, etc.)
Do not rely on AI outputs for critical decisions without consulting qualified professionals

CRITICAL: TaskAGI provides access to web scraping and data enrichment services. By using these features:

6.1. User Responsibility for Scraping Compliance:

YOU ARE SOLELY RESPONSIBLE for ensuring your scraping activities are lawful
YOU must comply with target websites' Terms of Service
YOU must respect robots.txt files and rate limits
YOU are responsible for obtaining necessary permissions to scrape websites
TaskAGI does NOT verify the legality of your scraping activities

6.2. Legal Risks:

Web scraping may violate website terms, copyright law, or anti-hacking laws in some jurisdictions
Website owners may pursue legal action against unauthorized scrapers
YOU assume ALL legal risk for your scraping activities
TaskAGI is NOT liable for legal consequences of your scraping

6.3. Indemnification:

YOU AGREE TO INDEMNIFY TaskAGI against any claims arising from your web scraping activities
This includes legal fees, damages, and regulatory penalties

6.4. Data Ownership:

Scraped data may be subject to copyright or database rights
YOU are responsible for respecting intellectual property rights in scraped data
TaskAGI makes no claim to ownership of scraped data

6.5. Service Termination:

We may suspend or terminate accounts engaging in illegal or abusive scraping
We cooperate with law enforcement and comply with valid legal requests

7.1. User Control: You design and control your workflows. TaskAGI merely executes the logic you define.

7.2. Execution Risk:

YOU are responsible for testing workflows before production use
TaskAGI is not liable for data loss, corruption, or unintended actions caused by your workflows
You should implement appropriate error handling and validation

7.3. Background Processing:

Workflows execute asynchronously via background jobs
Execution may be delayed during high load or system maintenance
We do not guarantee immediate execution or completion

7.4. Webhook Security:

YOU are responsible for securing webhook endpoints you expose
Use webhook secrets and validate requests
TaskAGI is not liable for security breaches of your webhook endpoints

7.5. Execution Limits: We may impose limits on:

Workflow execution duration
API call frequency
Data processing volume
Concurrent executions

8.1. Integration Availability: Third-party integrations are subject to change without notice based on provider availability and business relationships.

8.2. Credential Storage:

OAuth tokens and API keys are encrypted using AES-256 encryption
Credentials are stored securely and only used for authorized workflow executions
You can revoke access at any time through your account settings

8.3. Provider Changes:

TaskAGI is not responsible for changes to third-party APIs or terms
Integrations may break if providers modify their APIs
We will make reasonable efforts to maintain integrations but offer no guarantees

8.4. Data Sharing: When you connect integrations:

You authorize TaskAGI to access your data from those services
You authorize TaskAGI to send data to those services on your behalf
Data sharing is subject to each provider's privacy policy
Review each integration provider's Terms of Service and Privacy Policy

9.1. Subscription Plans: TaskAGI offers multiple subscription tiers:

Free Plan: Limited agents and credits
Personal Plan: Enhanced limits and features
Enterprise Plan: Full access and higher limits
Lifetime Deal (LTD): One-time payment with perpetual access

9.2. AI Credits:

Many integrations and AI models consume AI credits
Credits are stored in cents for precise calculation
Pricing varies by integration (free, per-run, or per-result models)
You are responsible for monitoring your credit balance
Insufficient credits will prevent workflow execution

9.3. Payment Processing:

Payments are processed by third-party processors (Stripe, PayPal, etc.)
We do not store your full payment card details
Payment processor fees may apply

9.4. Billing Cycle:

Subscriptions are billed monthly or annually based on your selection
Billing occurs automatically on your renewal date
You are responsible for maintaining valid payment information

9.5. Refunds: See our Refund Policy for details. Generally:

Free trials and free plans: No charges, no refunds applicable
Paid subscriptions: Non-refundable after trial period ends (except as required by law)
Lifetime deals: Subject to specific AppSumo or platform terms

9.6. Cancellation:

You may cancel your subscription at any time
Cancellation stops future billing but does not trigger refund
You retain access through the current billing period

9.7. Price Changes: We may modify pricing with 30 days' notice. Continued use after price change constitutes acceptance.

10.1. TaskAGI IP: The Service and its contents (text, graphics, logos, icons, images, software, platform code) are the exclusive property of TaskAGI or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

10.2. License to Use Service: You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal or business use, subject to these Terms.

10.3. User Content Ownership:

You retain ownership of content you submit to the Service
You grant TaskAGI a license to use your content to provide the Service
This license terminates when you delete content or close your account

10.4. AI-Generated Content:

Ownership of AI outputs is complex and varies by jurisdiction
TaskAGI makes no claim to AI-generated content you create
However, AI providers may have their own IP policies
You are responsible for determining IP ownership of AI outputs

10.5. Workflow Templates: If you publish workflow templates:

You grant other users a license to use your templates
Sensitive data (webhook secrets, API keys) are automatically stripped

10.6. Restrictions: You may not:

Reverse engineer, decompile, or disassemble the Service
Remove copyright, trademark, or proprietary notices
Use TaskAGI branding without written permission
Create competing services using TaskAGI's intellectual property

11.1. Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms.

11.2. By using TaskAGI, you consent to our collection, use, and disclosure of your personal data as described in the Privacy Policy and applicable data protection laws (GDPR, UK DPA).

11.3. Data Processing Agreement: For business users processing personal data through TaskAGI, our Data Processing Agreement applies in addition to these Terms.

11.4. You are responsible for:

Obtaining necessary consents from data subjects
Complying with data protection laws when using the Service
Ensuring lawful basis for processing data through workflows

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

12.1. The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise.

12.2. TaskAGI EXPRESSLY DISCLAIMS all warranties, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Service will be uninterrupted, error-free, or secure
Warranties regarding accuracy, reliability, or completeness of content or results
Warranties regarding AI model outputs, web scraping data, or third-party integration functionality

12.3. TaskAGI makes NO WARRANTY that:

The Service will meet your specific requirements
Workflow executions will be timely, accurate, or complete
AI-generated content will be accurate, original, or non-infringing
Web scraping activities will be legal in your jurisdiction
Third-party integrations will remain available or functional
Data loss or corruption will not occur

12.4. Third-Party Services: TaskAGI is not responsible for the accuracy, reliability, or availability of third-party AI models, integrations, or services accessed through the platform.

12.5. You acknowledge that you use the Service at your own risk and discretion.

These disclaimers apply to all uses of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

13.1. No Liability for Indirect Damages: TaskAGI shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, business opportunities, or goodwill
Loss of data or data corruption
Cost of procurement of substitute services
Damages resulting from AI-generated content or web scraping activities
Damages from unauthorized access to your accounts or data
Damages from workflow execution errors or failures
Damages from third-party integration failures or changes

13.2. Liability Cap: In no event shall TaskAGI's total aggregate liability exceed the amount you paid to TaskAGI in the 12 months preceding the claim, or €100 (whichever is greater).

13.3. Essential Purpose: These limitations apply even if TaskAGI has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

13.4. Statutory Rights: Nothing in these Terms excludes or limits liability for:

Death or personal injury caused by negligence
Fraud or fraudulent misrepresentation
Any liability that cannot be excluded or limited under applicable law

13.5. Force Majeure: TaskAGI is not liable for delays or failures due to causes beyond our reasonable control (natural disasters, wars, strikes, internet outages, third-party service failures, government actions, etc.).

14.1. You agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS TaskAGI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

Your use or misuse of the Service
Your violation of these Terms or applicable laws
Your violation of third-party rights (IP rights, privacy rights, etc.)
Content you submit or workflows you create
AI-generated content you create or use
Web scraping activities you conduct through the Service
Your violation of third-party integration terms
Claims by data subjects related to your data processing activities
Your breach of data protection laws

14.2. TaskAGI reserves the right to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with TaskAGI in asserting any available defenses.

15.1. Governing Law: These Terms are governed by and construed in accordance with the laws of the European Union and the United Kingdom, without regard to conflict of law principles.

15.2. Jurisdiction: Any dispute arising out of or relating to these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of the EU/UK.

15.3. Dispute Resolution:

Before filing a claim, you agree to attempt to resolve disputes informally by contacting hello@taskagi.net
We will attempt to resolve disputes in good faith
If informal resolution fails, either party may pursue legal remedies

15.4. EU Consumer Rights: If you are an EU consumer, you may have additional rights under EU consumer protection laws that cannot be waived by these Terms.

15.5. Class Action Waiver: To the extent permitted by law, you agree to bring claims only in your individual capacity and not as part of any class or representative action.

At TaskAGI, we are committed to maintaining a safe, legal, and respectful environment. You may not use the Service for:

Prohibited Content:

Harassment: Threatening, intimidating, or harming individuals or groups
Hate Speech: Content promoting hate or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or protected characteristics
Self-Harm: Content encouraging or providing instructions on self-harming behaviors
Sexual Content: Explicit sexual content involving minors (will be reported to authorities)
Violence: Content glorifying or promoting graphic violence
Illegal Activities: Facilitating illegal activities, fraud, or crimes
Misinformation: Deliberately spreading false information to cause harm
Spam: Unsolicited bulk communications or automated spam

Prohibited Activities:

Violating laws, regulations, or third-party rights
Circumventing security features or access controls
Attempting to gain unauthorized access to systems or data
Interfering with Service operation or other users' access
Using the Service to attack, hack, or disrupt other systems
Scraping data in violation of website terms or laws
Creating AI content that violates provider policies
Using automation to manipulate or game systems

Enforcement:

We may suspend or terminate accounts violating this policy
We may remove prohibited content without notice
We cooperate with law enforcement investigations
Serious violations may result in legal action

Note: These prohibitions are not exhaustive. We reserve the right to take action against any harmful or inappropriate behavior, even if not explicitly listed.

17.1. Your Right to Terminate: You may terminate your account at any time through account settings or by contacting hello@taskagi.net.

17.2. Our Right to Suspend/Terminate: We may suspend or terminate your account without notice if:

You violate these Terms or applicable laws
You engage in prohibited activities or content violations
Your account is used fraudulently or for illegal purposes
We are required to do so by law
You fail to pay fees when due

17.3. Effect of Termination:

Your access to the Service will be immediately revoked
Your workflows, configurations, and data may be deleted after 90 days
You remain liable for any outstanding fees
Sections of these Terms that should survive termination (indemnification, disclaimers, liability limitations) will continue to apply

17.4. Data Export: Before termination, you should export any data you wish to retain. We are not obligated to provide data after account termination.

18.1. If you use TaskAGI's API:

API usage is subject to rate limits and authentication requirements
API access may be subject to rate limiting and throttling
We may modify, deprecate, or discontinue API endpoints with reasonable notice
API keys are confidential and must not be shared publicly
You are responsible for all activity using your API credentials

19.1. If you participate in TaskAGI's affiliate program (/developer, /r/{id} routes):

Affiliate programs require separate written agreement
You may earn commissions for referred users
Fraudulent referrals will result in termination and forfeiture of commissions
We reserve the right to modify commission structures with notice

20.1. Right to Modify: TaskAGI reserves the right to modify or update these Terms at any time.

20.2. Notice of Changes:

Material changes will be communicated via email or prominent notice on the Service
We will provide at least 30 days' notice for material changes affecting your rights
The "Last Updated" date at the top indicates when changes were made

20.3. Acceptance: Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

20.4. Version History: Previous versions of these Terms may be requested by contacting hello@taskagi.net.

21.1. Entire Agreement: These Terms, together with the Privacy Policy and all referenced policies, constitute the entire agreement between you and TaskAGI.

21.2. Severability: If any provision is found unenforceable, the remaining provisions will remain in full effect.

21.3. No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

21.4. Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

21.5. Relationship: These Terms do not create any partnership, joint venture, employment, or agency relationship.

21.6. Third-Party Beneficiaries: These Terms are solely for the benefit of you and TaskAGI (and our respective successors and assigns), not third parties.

21.7. Language: These Terms are provided in English. Translations may be provided for convenience but the English version governs in case of conflict.
